A Nevada LLC is different from a Nevada Corporation in that the LLC doesn't have as many tax advantages and they are often used for independent businesses owners or for partnership. When you declare a Nevada Corporation, you are granted protection for your assets from lawsuits and you are considered a separate entity from your business. Why do people often choose a Nevada Corporation over a Nevada LLC? One of the biggest reasons is for financing. Many times lenders see LLCs as a higher risk because they are an individual LLC versus a partnership, which spreads out the risk. For a Nevada Corporation, you can raise funds in support of the business by selling stock in your business. Depending upon the size of your business and your desire, the stock can be issues publicly or you can choose to issue it privately. If your business has grown and it is larger corporation, you will need to appoint a board of directors to run the corporation. You can still run the company, but they will provide guidance and they do have the power to vote you out of office. The role of the board of directors is to make decision which are going to help the company and continue to keep it in tact and profitable for years to come.
